Corporate & M&A · Romania

Buy, sell, invest. Get the legal structure right.

Buying or selling a business, bringing in an investor or reorganising a group calls for legal advice that understands the commercial objective. Corporate and M&A work is a core part of First Principle’s practice, from initial terms and due diligence to negotiation, signing and completion.

Buying or selling a business

First Principle advises buyers and sellers on the legal structure and documents of an acquisition. The work can cover preliminary terms, legal due diligence, share or asset purchase agreements, disclosures, warranties, indemnities and completion conditions. Findings are translated into contractual protections and practical steps for the deal.

Investment and shareholder relationships

For an investment or joint venture, the documents need to address contributions, control, decision-making, transfers, deadlock and exit. First Principle negotiates investment and shareholder agreements around the relationship the parties intend to build, including private equity investments.

Corporate matters throughout the business lifecycle

First Principle also assists with company formation, governance, corporate approvals, ownership changes, mergers and group reorganisations. Corporate decisions and formalities are coordinated with the transaction or wider business objective.

Transactions with a cross-border dimension

Where a transaction involves more than one jurisdiction, First Principle handles the Romanian legal work and coordinates with the client’s advisers in the other jurisdictions. Tax, accounting and sector-specific questions are brought into the process where they affect the structure or completion.

Work in clear stages

  1. 01

    Assess and structure

Establish the commercial objective, proposed terms, parties and legal due diligence scope.

  2. 02

    Draft and negotiate

Turn the findings and agreed deal into transaction documents and corporate approvals.

  3. 03

    Sign and complete

Support conditions, signing, completion and the agreed post-completion steps.

Other work and costs

Tax structuring, accounting, valuation and regulated-sector requirements may need specialist input. Registry, notarial and other third-party costs are agreed separately.

05 / Fees

Know what the work will cost.

A fixed fee. An agreed price for clearly defined work, so you know the fee before we begin.

Priced stages. For transactions and disputes, agree the work and fee for each stage before it starts.

Hourly, where appropriate. For work whose extent cannot be defined at the outset, at a rate agreed in advance.

For regular advice, we can agree a monthly fee covering the work and availability you need. Work outside that arrangement is discussed and priced separately.
